General Terms and Conditions

1. Conclusion of Contract
A purchase contract is concluded through the express or implied acceptance of an offer with Mrs. Margit Strolz-Denz, Knie 23, 6850 Dornbirn.

2. Performance and Jurisdiction
a) Place of jurisdiction and performance for delivery is the supplier’s place of business.
b) Agreed delivery periods and dates are subject to unforeseeable, unavoidable, and non-culpable obstacles, particularly in cases of force majeure; this also applies in cases of slight negligence. In all such cases, the delivery period shall be automatically extended accordingly. Claims for damages shall not arise for the buyer on this basis.
c) In the event of delayed delivery, the buyer shall only be entitled to withdraw from the contract after expiry of a reasonable grace period set in writing. If the transaction is a fixed-date contract, withdrawal shall be permitted with immediate effect.

3. Prices
Prices apply ex works of the seller, exclusive of VAT. Unless otherwise agreed, the precious metal price on the day of delivery applies.

4. Delivery
Delivery is made at the buyer’s expense and at the sender’s risk. Shipment is properly insured and carried out, unless the buyer provides specific instructions, with the diligence of a prudent merchant. In the event of damage occurring while consignment goods or goods delivered on approval are in the buyer’s custody, the buyer shall be liable if the duty of care of a prudent merchant is breached. Delivery costs, regardless of the type of business transaction, including agreed delivery on approval or on a trial basis, shall be borne by the buyer and are not subject to discount or settlement accounts.

5. Payment
All prices are fixed prices (no deduction of discounts, cash discounts, etc.).

6. Retention of Title
Ownership of the delivered goods remains with the supplier until full payment has been received.

7. Consignment, Commission, and Trial Deliveries
For as long as retention of title applies, the supplier is entitled, in the case of commission or selection transactions, to demand the return of its goods while simultaneously declaring withdrawal from the contract, without granting any grace period. In the case of consignment, trial, or selection deliveries, the recipient is responsible for observing the stipulated return period. If this period is exceeded, the buyer and the supplier agree that the consignment or trial delivery shall automatically be converted into a purchase contract. In the event of seizure of delivered goods at the buyer’s premises, the buyer is obliged to point out the supplier’s retention of title to the enforcing authority and to request its entry in the seizure protocol. Furthermore, the buyer must notify the supplier immediately of the seizure to safeguard its rights.

8. Complaints by the Recipient
Defects and other complaints must be reported by the recipient immediately upon receipt of the goods, provided their cause could have been discovered within this period using the diligence of a prudent merchant.

9. Transactions with Supplied Materials
The measures necessary to fulfill obligations concerning the delivery of production material shall be the responsibility of the buyer.

10. Consequences of Default
In the event that agreed payment dates or delivery deadlines for production material are exceeded by the buyer, default interest of 1% per month shall be charged. The buyer is further liable to the supplier for all disadvantages and damages resulting from culpable non-fulfillment of any contractual obligation, including costs of extrajudicial reminders and debt collection.

11. Validity of Contract
These contractual terms remain valid even if individual provisions are amended or become invalid.

12. Governing Law
Austrian law applies.
